Public Contract (Offer) for Ordering and Provision of Legal Assistance
This Contract constitutes an official and public offer by Attorney Ivan Oleksandrovych Goncharov to enter into an agreement for the provision of legal assistance, the details of which are published on the website www.attache.lawyer.
This Contract is public in nature, meaning that, pursuant to Article 633 of the Civil Code of Ukraine, its terms are identical for all clients regardless of their status (individual, legal entity, or individual entrepreneur), without granting preference to any client over another.
By entering into this Contract, the Client fully accepts the terms and procedures for ordering, payment for, and provision of legal assistance, the refund of payments, refusal of legal assistance, liability for improper orders, and all other terms of this Contract.
The Contract shall be deemed concluded from the moment the Client contacts Attorney Ivan Oleksandrovych Goncharov by telephone, email, or via the feedback form published on the website.
1. Definitions
1.1. Public Offer (the “Offer”)
A public proposal by Attorney Ivan Oleksandrovych Honcharov addressed to an indefinite number of persons to conclude a contract for ordering and provision of legal assistance remotely (the “Contract”) under the terms set out in this Offer.
1.2. Legal Assistance
Types of legal (advocacy) activities specified in Article 19 of the Law of Ukraine “On the Bar and Legal Practice”, which may be provided on the basis of oral and, where necessary, written agreements for legal assistance, selected by the Client and provided under this Contract either remotely or directly at the Attorney’s place of business.
1.3. Website
The Attorney’s website located at www.attache.lawyer, created for concluding contracts for ordering and provision of legal assistance based on the Client’s review of the types of legal assistance offered via the Internet.
1.4. Client
A legally capable individual who has reached the age of 18 and receives information from or applies for legal assistance from the Attorney, or a legal entity or individual entrepreneur.
1.5. Attorney
Attorney Ivan Oleksandrovych Goncharov (Certificate of the Right to Practice Law No. 002533 dated 22 September 2021, issued by the Kharkiv Regional Bar Council), acting in accordance with the legislation of Ukraine, with correspondence address: P.O. Box 8843, Post Office No. 101, 43A Nauky Avenue, Kharkiv, 61101, Ukraine.
2. Subject of the Contract
2.1.
The Attorney undertakes to provide legal assistance to the Client under the terms and in the manner specified in this Contract, and the Client undertakes to pay for such legal assistance and reimburse actual expenses necessary for its provision.
2.2.
The date of conclusion of this Offer (acceptance of the Offer) and the moment of full and unconditional acceptance by the Client of the terms of the Contract shall be deemed the moment the Client contacts the Attorney by telephone, email, or via the website feedback form, provided that the Client receives confirmation of the mandate from the Attorney in electronic or other mutually acceptable form.
In cases provided by law, the legal assistance agreement shall be concluded in writing. A written agreement may include any additional terms agreed upon by the parties prior to signing.
2.3.
The decision whether to provide legal assistance personally or with the involvement of assistants (where permitted by law) shall be made by the Attorney at his discretion.
3. Ordering Legal Assistance
3.1.
The Client independently decides on the need for legal assistance and contacts the Attorney by completing the feedback form on the Website, by email, or by telephone.
3.2.
The Attorney has the right to refuse to enter into this or a written agreement for legal assistance on the grounds specified in Article 28 of the Law of Ukraine “On the Bar and Legal Practice” or other grounds provided by applicable law.
3.3.
When contacting the Attorney via the Website, the Client must provide the following information necessary for performance of the Contract:
- full name;
- registered place of residence (if available);
- contact phone number and email address (if available);
- taxpayer identification number (if available), or company registration code for legal entities or individual entrepreneurs.
3.4.
The type of legal assistance requested by the Client.
3.5.
If additional information is required, either party may request it from the other. Failure by the Client to provide necessary information entitles the Attorney to refuse to conclude the Contract.
3.6.
Acceptance of this Offer is effected by the Client entering the required information in the registration form on the Website. Upon acceptance, the Client’s data becomes subject to attorney–client privilege and shall not be disclosed.
3.7.
The Client is responsible for the accuracy of the information provided.
3.8.
By accepting this Offer, the Client confirms that:
- they have fully read and accepted the terms of this Offer;
- they consent to the collection, processing, and transfer of personal data for the duration of the Contract and indefinitely thereafter;
- they have been informed of their rights under the Law of Ukraine “On Personal Data Protection”;
- all information provided is protected by attorney–client privilege.
4. Attorney’s Fee
4.1.
Payment for legal assistance is made in the form of an attorney’s fee, the amount of which is agreed between the Attorney and the Client.
4.2.
The fee may take into account the complexity of the case, the Attorney’s qualifications, experience, workload, and other circumstances. Any change to the agreed fee requires mutual consent.
4.3.
In addition to the fee, the Client shall reimburse actual expenses related to the provision of legal assistance, which may include expert services, transportation, printing, copying, translation, notarization, communication costs, etc.
4.4.
Indicative prices listed on the Website do not include such expenses.
4.5.
At the Client’s request, the Attorney may provide a preliminary estimate of expenses.
4.6.
Payment obligations are deemed fulfilled upon receipt of funds in the Attorney’s account.
4.7.
Payments may be made by any lawful means, including bank transfer, invoice payment via LiqPay or other payment systems.
4.8.
Upon completion of legal assistance, a settlement appendix may be issued detailing services rendered and their cost.
4.9.
The settlement appendix is deemed accepted if no written objections are submitted within five (5) days.
5. Rights and Obligations of the Parties
5.1. Attorney’s Obligations
To provide legal assistance selected by the Client in accordance with applicable law and professional standards.
5.2. Attorney’s Rights
- To amend the terms of this Contract, effective upon publication;
- To suspend legal assistance in case of non-payment.
5.3. Client’s Obligations
- To familiarize themselves with the Contract terms;
- To provide accurate and complete information;
- To pay the agreed fee and reimburse expenses;
- To accept and pay for properly rendered legal assistance.
6. Refund of Legal Assistance
Legal assistance is non-refundable. Disputes regarding quality or scope shall be resolved in accordance with the law, including through negotiations.
7. Liability
7.1.
The parties are not liable for non-performance caused by circumstances beyond their control.
7.2.
The Attorney is not liable for delays or improper performance resulting from inaccurate information provided by the Client.
7.3.
Liability is governed by the legislation of Ukraine.
7.4.
The parties are released from liability in case of force majeure, including war, military actions, natural disasters, etc., with immediate notification to the other party.
8. Confidentiality and Data Protection
8.1.
By providing personal data, the Client consents to its processing without time limitation.
8.2.
The Attorney undertakes to maintain confidentiality and attorney–client privilege.
8.3.
The Client is responsible for keeping personal data up to date.
9. Miscellaneous
9.1.
This Contract is governed by the laws of Ukraine.
9.2.
Disputes shall be resolved through negotiations, and if unresolved, by courts of competent jurisdiction in Ukraine.
9.3.
The Attorney may amend this Contract unilaterally as provided herein or by mutual agreement.
